By creating an account, accessing, or using the Auditrail platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms apply to all users, including visitors, registered users, and customers who access or use the service.

If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" in these Terms will refer to both you individually and the organization.

Auditrail provides a cloud-based audit trail and compliance automation platform that includes:

• Automated audit trail collection and management
• Compliance monitoring and reporting tools
• Security monitoring and anomaly detection
• Risk scoring and analysis
• Data retention and archiving capabilities
• Related features and services as updated from time to time

We reserve the right to modify, suspend, or discontinue any aspect of the services at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Use the services to transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems or other user accounts
• Interfere with or disrupt the integrity or performance of the services
• Reverse engineer, decompile, or disassemble any aspect of the services
• Use the services to compete with us or create a competing product
• Scrape, crawl, or collect data from the services using automated means
• Impersonate others or misrepresent your affiliation with any person or entity
• Upload or transmit content that is unlawful, offensive, or inappropriate
• Use the services in a manner that could damage our reputation

• The services will be uninterrupted, error-free, or completely secure

• Any errors or defects will be corrected

We may perform scheduled maintenance and may suspend access to the services with reasonable notice. Emergency maintenance may be performed without notice.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE
• WARRANTIES THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE AT ALL TIMES

You use the services at your own risk. We are not responsible for any damage to your systems or loss of data resulting from use of the services.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

• Loss of profits, revenue, or data
• Business interruption or loss of business opportunity
• Loss of goodwill or reputation
• Cost of substitute services

These limitations apply even if we have been advised of the possibility of such damages and regardless of the legal theory on which your claim is based.

Some jurisdictions do not allow limitations on implied warranties or limitations of liability. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

You agree to indemnify, defend, and hold harmless Auditrail, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the services
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your Customer Data or any content you submit
• Your breach of any applicable laws or regulations

We may modify these Terms from time to time. When we make material changes, we will:

• Update the "Last updated" date at the top of these Terms
• Provide notice through the platform or via email
• Give you a reasonable opportunity to review the changes

Your continued use of the services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the services and may terminate your account.
